Glossary of Terms

The Client: The company or individual requesting the services of Celtic Web Solutions.

Celtic Web Solutions: referred to as CWS throughout

 

Terms and Conditions

Agreements: CWS will carry out work only where an order has been place and an agreement has been made by email, telephone, mail or fax. An 'order' is deemed to be a written or verbal contract between CWS and the client. CWS will carry out work for clients who are 18 years of age and over.

Additions: Any additions to the original brief will be carried out at the discretion of CWS and where no charge is made by CWS for such additions, CWS accept no responsibility to ensure such additions are error free and reserve the right to charge an according amount for any correction to these or further additions.

Aim: CWS make every effort to provide products and services that are of the highest standard. We also strive to treat all our clients efficiently, consistently and fairly.

Breach: A breach of any of the terms and conditions will deem the account terminated

Cancellation: It is within your right to cancel an order from us within 7 working days of placing that order. To cancel an order please email or telephone us, Monday to Friday 9.30am to 5pm. Any expenses which CWS may have incurred during those 7 days will be payable by you and will be invoiced to you.

In order to cancel a monthly package, one month's notice will be required. 

Compatibility: CWS will endeavour to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with the web browsing software Microsoft Internet Explorer Version 6 and to an acceptable level with Mozilla browsers. CWS can offer no guarantees of correct function with all browser software.

Complaints: If you are not satisfied with the quality of our services please do not hesitate to call or email us. We will attend to your complaint quickly, efficiently and confidentially. We will endeavour to acknowledge your complaint within 48 business hours and will let you know what steps we are taking to resolve the issue you have rasied. At all times you will be kept informed of progress.

Confidentiality: All data provided by our clients is held in the strictest confidence. Information collected may be used by CWS for future marketing campaigns. If you do not wish to receive mailings from us please let us know by emailing us and we will take you off the mailing list.

CWS do not share or sell any of your details with third party companies, without the express permission or request of the client.

Content: The client agrees to make available to CWS all materials required to complete the site to the agreed standard and within the set deadline.

CWS will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines by the client.

CWS reserves the right to refuse to handle in any way, material which may be deemed offensive, illegal or controversial and also to terminate the free hosting service should the necessity arise.

Copyright: CWS takes no responsibility for any copyright infringements caused by materials submitted by the client. CWS reserves the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.  Any content deemed inappropriate by CWS can and will be removed by CWS and the account may be suspended or terminated.

Disputes: CWS will not be liable or become involved in any disputes between the client and their clients or third parties and cannot be held responsible for any wrongdoing on the part of the client.

E-Commerce, Database and Application Development: CWS cannot take responsibility for any losses incurred by the use of any software created for the client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the client in ensuring that all software is functioning correctly before use.

Functionality: CWS cannot be held liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its systems.

Liability: CWS will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the client or any of the client's appointed agents.

Optimisation: Due to external factors, such as changes to the way search engines rank websites, CWS cannot offer any guarantees regarding the position CWS will achieve for websites. CWS cannot accept liability for any change in rankings, or drop off in the position of client websites due to changes in the algorithms of the search engines or the factors that they use to rank websites.

CWS uses 'white hat techniques' when optimising websites and always aims to achieve a top ten ranking for client websites within six months of undertaking the optimisation process. Due to the work involved payment is required in advance and CWS is unable to offer a refund of any monies to clients in relation to this type of work.

Payment: CWS accepts payments electronically, by credit card, cash or cheque.

A deposit is required from any new client before any work is carried out.

The percentage required in advance is dependant on the overall cost of the project. Details are as follows:

It is the CWS policy that any outstanding accounts for work carried out by CWS or its affiliates is required to be paid in full, no later than 30 days from the date of the invoice unless by prior arrangement with CWS.

CWS will contact clients via email and telephone to remind them of such payments when such has not been received by the due date.

If accounts are not settled or CWS have not been contacted regarding the delay, access to the related website may be denied and web pages removed.

Following consistent non payment of an invoice CWSs Solicitors will be instructed to contact the client, with a view to seeking payment through legal procedures and if necessary court summons. Non payment can result in county court judgments (CCJs) being added to the client's credit rating.

Once a website has been designed and completed the final balance of payment is then due. There are no exceptions to this, i.e If the client decides they no longer want the site, they are still obliged to pay for the work that has been done. Non payment will result in legal action being taken if necessary. Once full payment is received for a website, it is assumed that the project has been completed to the client's satisfaction and no refunds can be offered. CWS offers free updates for one month after completion to allow for any final amendments to be made

Where payments are made directly from the client's bank account, it is the client's responsibility to cancel such payments. No refunds can be made for payments that have not been cancelled by the client when the account has been cancelled and has ceased to exist.

Pricing: CWS reserves the right to modify package and service costs at any time. CWS will notify clients of any changes, giving one month's notice of the change.

Refunds: Refunds will be made only where cancellations are made within 7 days of placing an order. There will be no refunds for monthly packages. Where packages are cancelled and one month's notice is required, the package will end at the last payment date of the following month.

Server Status: CWS will endeavour to ensure the best server service possible. Where the server is unavailable, CWS cannot take responsibility for any information or orders lost or for any loss whatsoever.

Termination: CWS reserves the right to terminate any account which is deemed to be inappropriately or unreasonably using CWSs capacity, name, hardware or software. Termination will be immediate. No refund applies where CWS has sought and executed the termination.

Testing: The client is expected to fully test any application or programming relating to a site developed by CWS before being made generally available for use. Where 'bugs', errors or other issues are found after the site is live, CWS will endeavour (but is not obliged) to correct these issues to meet the standards of function outlined in the brief

Where applications or sites are developed on servers not recommended by CWS, the client is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the application to be correctly developed. Where large applications are to be developed, it is the clients responsibility to provide a suitable testing environment which is identical to the final production environment.

Website Design: Whilst every endeavour will be made to ensure that the website and any scripts or programs are free of errors, CWS cannot accept responsibility for any losses incurred due to malfunction of the website or any part of it.

Any scripts, CGI applications, PHP scripts, or software (unless specifically agreed) written by CWS remain the copyright and property of CWS and may only be commercially reproduced or resold with the permission of CWS.

The website, graphics and any programming code remain the property of CWS until all outstanding accounts are paid in full.
